A Counsel provides expert, highly specialized legal advice on often complex transactions. They serve as a deep technical specialist, with significant experience in own area. They contribute to detailed transactions related research, develop legal strategies, prepare highly technical legal documents that may be required on the matter. They also contribute to talent development and knowledge management.
• Provides expert legal advice on complex transactions, including on transactions precedents and due diligence
• Analyses complex legal research and issues to develop or support transaction strategy
• Assists senior lawyers and Partners in developing legal strategies, preparing for negotiations and filings with relevant regulatory bodies
• Leads due diligence processes by reviewing relevant financial statements, contracts and other relevant documents to identify risks and liabilities
• Drafts and reviews key transactions documents such as term sheets, purchase agreements, merger agreements and other relevant legal documents
• May work internally with the Matter team and likely to have less exposure to clients than Associates / Partners
• Stays updated on legal developments in the area of specialization, advising senior Partners of any applicable changes
