Job Summary
We are seeking a highly motivated Associate to join our North American Private Capital Advisory team within M&A and the global Private Capital Advisory & Solutions team. The team advises corporates, sponsors, and privately held businesses on minority investments, joint ventures, and other non-control private capital transactions. These transactions support strategic and financial objectives such as acquisitions, capital investment, growth, monetization, and balance sheet optimization. Working across sectors and alongside industry coverage and product teams, we originate, structure, and execute tailored transactions, including common equity, preferred equity, structured minority investments, and joint ventures. The role is well suited to candidates with experience in structured equity, project finance, infrastructure finance, structured finance, M&A, private equity, or related investing and advisory roles.
Job Responsibilities
- Work with senior bankers and industry teams to originate, structure, and execute minority investments, joint ventures, and other private capital transactions
- Develop financial models and analyses to evaluate transaction structures, cash flows, investor returns, and client outcomes
- Assess how key structural terms, including IRR caps, distributions, leverage, tenor, call rights, and downside protections, affect risk and return
- Support the development and negotiation of transaction terms, including economic, governance, and investor protection provisions
- Prepare client presentations, transaction marketing materials, financial analyses, process materials, and term sheets
- Evaluate potential capital partners and support investor outreach across private equity, infrastructure funds, pension funds, sovereign wealth funds, insurance companies, credit investors, and other institutional investors
- Analyze and compare investor proposals, including return requirements, funding commitments, governance rights, and other material terms
- Coordinate transaction execution from preparation and launch through diligence, negotiation, and signing
- Work with clients, investors, lawyers, accountants, and other advisors throughout the transaction process
- Serve as a day-to-day point of contact for clients and take ownership of key transaction workstreams
- Support client and investor discussions by clearly explaining financial, structural, and commercial trade-offs
- Manage multiple live transactions and business development assignments in a fast-paced environment
- Provide guidance and mentorship to junior team members
Required Qualifications, Capabilities, and Skills
- 4 to 6 years of experience in investment banking, private equity, infrastructure investing, or a related financial advisory or investing role
- Experience in structed equity, project finance, infrastructure finance, structured finance, M&A, or complex principal investing is preferred
- Strong financial modeling and quantitative analysis skills, including experience analyzing long-dated or asset-level cash flows
- Solid understanding of corporate finance, capital structures, cash flow allocation, risk allocation, and investor returns
- Experience evaluating or negotiating transaction terms, financing structures, investment proposals, or transaction documentation
- Ability to understand how changes in commercial and structural assumptions affect risk and returns
- Strong written and verbal communication skills, including experience preparing client presentations and transaction materials
- Ability to communicate complex financial and structural concepts clearly and concisely
- Strong attention to detail, judgment, and organizational skills
- Ability to manage multiple workstreams and deliver high-quality work under tight deadlines
- Proactive and collaborative approach, with the ability to work effectively across industry, advisory, capital markets, legal, and other internal and external teams
- High level of ownership and willingness to assume increasing responsibility throughout the transaction process
