The opportunity

 

The EY Entity Compliance and Governance (ECG) team assists client legal departments with designing, implementing, and operating entity compliance and governance systems. The team ensures clients meet legislative and regulatory requirements and provides legal and administrative support and guidance to clients' boards of directors.

 

We are looking for a Manager to join our Entity Compliance and Governance team (Company Secretarial) in our Warrang – Sydney or Naarm – Melbourne. Your key responsibilities

 

• Provide technical expertise, compliance services and advice to a range of private and non-listed clients, ensuring that services are delivered to a high standard, on time, and within our commercial operating model.
• Develop and manage key client relationships and provide a full range of advisory services including technical support, corporate compliance, entity management and company secretarial services, with occasional board and governance-related support as required.
• Oversee the end-to-end corporate compliance requirements of client entities, including ASIC lodgements, maintenance of statutory registers, annual compliance obligations, company incorporations, deregistrations and corporate transactions.
• Monitor legislative and regulatory developments and provide practical advice to clients on compliance obligations and best practice corporate compliance processes.
• Contributing to business development activities, with support and guidance from Senior Management, including attending meetings with potential clients and preparing proposals.

 

Skills and attributes for success    

 

• Tertiary qualifications with a legal, business or other relevant qualification, such as the Graduate Diploma in Applied Corporate Governance.
• Strong experience providing Corporate Secretarial services either in-house or in a legal firm/professional services / consulting organisation with leadership experience supporting and managing a junior team.
• Strong commercial awareness and experience in working as part of a team, with the ability to build effective internal and external relationships.
• Experience in providing corporate compliance and entity management services, registering new companies, managing ASIC lodgements, share transactions, company changes, corporate restructures, foreign company registrations and other statutory compliance obligations to a high volume of clients will be highly regarded.
• Experience using Diligent/Blueprint Oneworld, CAS360, GEMS or similar corporate secretarial database and technology platforms.
• Exceptional attention to detail, organisational and time management skills to prioritise competing deadlines, a strong work ethic and exceptional interpersonal, verbal and written communication skills.
