Work you’ll Do
As a Senior Manager in M&A Financial Due Diligence (FDD), you will be responsible for:
• Advising on technical accounting matters related to transactions, including business combinations, consolidations, share-based compensation, revenue recognition, leases, intangible assets, and financial instruments.
• Identifying and evaluating business, industry, financial, accounting, and tax risks associated with transactions and assessing their potential implications
• Providing insights on historical and projected earnings, cash flows, contingencies, commitments, exposures, asset quality, and internal control structures
• Reviewing financial models and transaction documents, including stock purchase agreements, merger agreements, bank finance agreements, and public debt offering documents
• Supporting transaction execution through purchase price adjustment mechanisms, deal structuring considerations, integration planning, divestiture planning, and post-transaction transition activities

The team
Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth, investment and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration, separation planning and execution, transaction structuring and financing, and portfolio value creation support.
M&A advises Private Equity clients across inorganic growth/divestiture scenarios through M&A strategy, diligence, integration/separation planning and execution, financial and modeling services, and transaction financing. As a global leader in providing consulting services to the Private Equity ecosystem, Deloitte works with clients to address a range of critical issues brought on by regulatory changes, competition, globalization, advances in technology including AI, and the changing demands of their customers. Our clients include asset, wealth, and investment advisers and administrators from every sector of the industry, including investment managers, broker-dealers, banks, insurance companies, mutual funds, hedge funds, private equity, alternative products, and other money managers. The FDD specific team delivers clear, actionable insights that support transaction decisions, identify risks and opportunities, and help clients create value across the deal lifecycle. The team looks beyond the numbers to provide advice that drives informed action, faster decisions, and stronger outcomes in a fast-moving market.
Qualifications
Required:
• Bachelor's degree
• 8+ years of experience applying United States Generally Accepted Accounting Principles (GAAP)
• 8+ years of experience in investment management within industry or in a consulting environment serving investment management clients
• Experience advising on technical accounting matters related to mergers and acquisitions (M&A)
• Experience reviewing financial models and transaction documents, including stock purchase agreements, merger agreements, bank finance agreements, or debt offering documents
• Ability to travel 25%, on average, based on the work you do and the clients and industries/sectors you serve.
• Limited immigration sponsorship may be available.
Preferred:
• Certified Public Accountant (CPA) or Chartered Accountant (CA)
• Master's degree in finance, accounting, or business administration
• Experience in audit at a large public accounting firm
• While we are hiring for all industries, we have a specific focus on candidates with infrastructure experience, including any of and not limited to the following: power and utilities, renewable energy, digital infrastructure, telecom, transportation and logistics
The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $171,600 to $338,300.
You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
